Final Order Entered: 1. The Joint Application for the acquisition and transfer of ownership and control of Black Mountain District pursuant to KRS 278.020(6) and KRS 278.218 is approved. 2. The APA, attached to this Order as an Appendix, is approved as modified. 3. Any changes to the APA shall be approved by the Commission. 4. Within five days of consummation of the acquisition, Kentucky-American shall file a written notice setting forth the date of acquisition. 5. Prior to the closing of the APA, Black-Mountain District shall file an accounting of all existing debt obligations, as post-case correspondence in this file. This should include the amount of current garbage or sewer bills owed. 6. Prior to the closing of the APA, Black Mountain District shall file the current debt service surcharge and water loss surcharge amounts. 7. Joint Applicants shall adhere to all terms and conditions listed in the APA. 8. Within 20 days of the consummation of the acquisition, Kentucky-American shall file the journal entries it proposes to record the acquisition. The acquisition shall be recorded in accordance with the Uniform System of Accounts. 9. If the closing of the APA has not been completed within six months of the date of this Order, the Joint Applicants shall provide a written status report to the Commission.
