Final Order Entered: 1. The proposed transfer of ownership and control of the Evergreen System, pursuant to the terms of the Agreement, is approved, subject to the conditions set forth in ordering paragraphs 2 through 9, as of the date of this Order. 2. Evergreen shall notify the Commission in writing of the closing of the transaction within ten days of the closing. 3. If the transaction does not close within 90 days of the date of this Order, Evergreen shall file with the Commission a report on the status of the efforts to complete the transfer. 4. Any material revision to the proposed transaction shall be approved by the Commission in order for the amendment to be effective. 5. Evergreen shall continue to operate the WWTP serving the Evergreen System until Farmdale provides notice that it has a certified operator ready to continue operations. 6. Evergreen shall file with the Commission the copy of any notice provided by Farmdale concerning Farmdale's certified operator. 7. No later than March 31, 2017, Evergreen shall submit its Gross Report and an Annual Report for the calendar year ending December 31 , 2016. 8. No later than June 30, 2017, Evergreen shall submit its Gross Report and an Annual Report for the period January 1, 2017, through the date of the transfer. 9. Any documents filed pursuant to ordering paragraphs 2, 3, and 6 shall reference this case number and shall be retained in Evergreen's general correspondence file.

Order Entered: 1. A formal hearing in this matter shall be held on Wednesday, January 11, 2017, at 9:00 a.m. Eastern Standard Time, in the Commission's offices at 211 Sower Boulevard, Frankfort, Kentucky. 2. Evergreen shall appear at the formal hearing scheduled on January 11, 2017. 3. Evergreen shall mail a copy of the notice of hearing to each customer and shall give notice of the hearing in compliance with 807 KAR 5:001, Section 9(2)(b}. In addition, the notice of hearing shall include the following statement: "This hearing will be streamed live and may be viewed on the PSG website, psc.ky.gov." At the time the notice is mailed, Evergreen shall forward a duplicate of the notice and request to the Commission. 4. Pursuant to KRS 278.360 and 807 KAR 5:001, Section 9(9)(a), the record of the formal hearing in this matter shall be by digital video recording. 5. The information requested in the Appendix to this Order is due within 14 days of the date of this Order. Order Entered: 1. This case is initiated to investigate the request by Evergreen to abandon its utility services and facilities. 2. Evergreen shall continue to operate its utility facilities during the pendency of this investigation and shall continue operating until the Commission issues an Order adjudicating Evergreen's request to abandon its facilities. 3. The information requested in the Appendix of this Order is due within 14 days of the date of this Order.
