Kentucky Power's proposed use of interest rate management agreements as described in the application is approved. 5. The proceeds from the proposed financing shall be used only for the lawful purposes set out in Kentucky Power's application. 6. The Notes authorized herein shall not be issued to an affiliate unless the interest rate is no more than the cost of capital of AEP and the interest rate is equal to or lower than the interest rate on debt available to Kentucky Power from a non-affiliate at the time of issuance.

Order Entered: (1) Kentucky Power's request for approval of its proposed financing is continued beyond the 60-day time limit set forth in KRS 278.300(2). (2) The procedural schedule for processing the review of the proposed financing is attached hereto as an Appendix and shall be followed in this case. (3) Any document filed with the Commission shall be served on all parties of record, with ten copies to the Commission. (4) All parties shall respond to any interrogatories or requests for production of documents that Commission Staff submits in accordance with the procedural schedule set forth in the Appendix. (5) a. Responses to requests for information shall be appropriately bound, tabbed and indexed and shall include the name of the witness responsible for responding to the questions related to the information provided. b. Each response shall be answered under oath or, for representatives of a public or private corporation or a partnership or association or a governmental agency, be accompanied by a signed certification of the preparer or person supervising the preparation of the response on behalf of the entity that the response is true and accurate to the best of that person's knowledge, information, and belief formed after a reasonable inquiry. (c) Any party shall make timely amendment to any prior response if it obtains information which indicates that the response was incorrect when made or, though correct when made, is now incorrect in any material respect.

An IC shall be scheduled on December 10, 2013, at 1:00 p.m. Eastern Standard Time, at the Commission's offices at 211 Sower Boulevard, Frankfort, Kentucky for the purposes as stated in Kentucky Power's motion. 3. The AG's motion to hold this case in abeyance is denied.
