Order Entered: 1. Bluegrass Water’s October 27, 2021 and December 6, 2021 motions for confidential treatment are granted. 2. The material designated for confidential treatment is the purchase price of the wastewater system it intended to purchase; the engineering report attached to the application as Exhibit G; the Bluegrass Water consolidated financial statements through July 31, 2021; the audited Consolidated 2020 and 2019 Financial Statements of affiliate Central States Water Resources; the Appraisal Report and the Asset Valuation Report; a redacted journal entry which discloses the total closing consideration/acquisition value, and estimated closing costs for the purchased system. 3. The designated material granted confidential treatment by this Order shall not be placed in the public record or made available for public inspection for five years or until further Order of this Commission. 4. Use of the designated material granted confidential treatment by this Order in any Commission proceeding shall comply with 807 KAR 5:001, Section 13(9).

Final Order Entered: 1. Pursuant to KRS 278.020(1)(a), Bluegrass Water is granted a Certificate of Public Convenience and Necessity to provide utility service to and for the public in the Darlington Creek Subdivision. 2. Bluegrass Water’s application for Commission approval of its acquisition of the Darlington Creek System is granted. 3. The initial rates and terms of service proposed by Bluegrass Water for customers in the Darlington Creek Subdivision are approved, effective on the date of closing. 4. Within ten days of completion of the transfer of the Darlington Creek System to Bluegrass Water, Bluegrass Water shall notify the Commission in writing of the date that the transfer occurred. 5. One month after the closing of the transaction, Bluegrass Water shall file for the acquired system the following: a report listing discharge quality; number of service interruptions; employee or contractor response times; and any violations or citations for the preceding month. 6. Six months after the closing of the transaction, Bluegrass Water shall file for the acquired system a report listing the following: discharge quality; number of service interruptions; employee or contractor response times; and any violations or citations for the preceding month.
